Analysis on Risk Factors and Countermea- sures of International M & A Carried Out by Inspection and Testing Institutions

Abstract:International mergers and acquisitions (M & As) is one of the effective means for testing, inspection and
certification (TIC) enterprises to achieve strategic objectives, obtain scale effect, reduce expansion cost and
enhance technology competitiveness. However, many kinds of risks may lead to failure of M & As, and even cause
heavy losses, affecting the survival and development of enterprises. In this paper, the risk factors and analysis
methods in international M & As of Chinese testing, inspection and certification (TIC) corporations in the process
of internationalization is studied. The risk cost assessment model is analyzed, it shows the important significance
of the early risk control for reducing the risk cost. The risk factors are analyzed from three aspects, including
politics, finance and integration, and the main risks may encounter in carrying out international M & As of TIC are
emphatically analyzed, and the response measures are put forward.
